Universal Insurance Plc has secured a N7.128 billion equity investment from FPNG Co-Nvest Limited in a deal that will hand the investor a controlling 50.1 per cent stake in the insurer.
Universal Insurance Plc has secured a N7.128 billion fresh equity investment from FPNG Co-Nvest Limited as the insurer races to strengthen its balance sheet and satisfy regulatory capital requirements.
The investment, disclosed in a market update filed with the Nigerian Exchange Limited, will be made through a private placement that will see FPNG receive additional shares in Universal Insurance.
Once the transaction is completed, FPNG will become the insurer’s majority shareholder with a 50.1 per cent stake, effectively giving the investor control of the company.
The deal comes at a critical time for Universal Insurance and the wider Nigerian insurance industry, as operators work to meet the higher minimum capital requirements introduced under the ongoing recapitalisation exercise.
N7.1bn investment to push insurer above regulatory threshold
Universal Insurance said the fresh capital would enable it to exceed the applicable regulatory capital requirement while maintaining a strong solvency position.
The company disclosed the transaction following a request from NGX Regulation Limited for clarification on its recapitalisation status.
According to the insurer, its board and management have already obtained the necessary board and shareholder approvals for the investment.
However, the transaction is still subject to regulatory clearance.
Universal Insurance said it is currently engaging the National Insurance Commission (NAICOM) and other relevant regulators to obtain the approvals required to complete the deal.
FPNG set to take control
The private placement represents a significant change in the ownership structure of Universal Insurance.
FPNG Co-Nvest Limited will inject the N7.128 billion in exchange for new shares, resulting in a 50.1 per cent controlling interest once the transaction is completed.
The investment therefore provides Universal Insurance with both the capital needed for recapitalisation and a new controlling shareholder with a substantial financial interest in the insurer’s future.
The company said it remains committed to fulfilling all conditions attached to the recapitalisation process.

The insurer said it would continue working closely with NAICOM as the transaction progresses.
It also pledged to provide the NGX, shareholders and the investing public with updates on material developments relating to the investment and recapitalisation process.
