Closed trading period begins January 1 as company prepares to release audited financial statements.
Sovereign Trust Insurance Plc has announced the commencement of a closed trading period for its shares, beginning January 1, 2026, as it prepares to release its audited financial statements for the year ended December 31, 2025.
The move is in compliance with the amended Rule 17.18 of the Listing Rules of the Nigerian Exchange Limited (NGX), which restricts insiders from trading in company shares during sensitive financial reporting periods.
The announcement was disclosed in a corporate filing signed by the company’s secretaries, Equity Union Limited.
According to the statement, the closed period is a precautionary measure designed to maintain market transparency and prevent insider trading before the release of the company’s financial results.
“In compliance with the provisions of the amended Rule 17.18 of the Listing Rules of Nigerian Exchange Limited, this is to inform all insiders of Sovereign Trust Insurance Plc that the closed period for trading in the shares of the company commenced on 1 January 2026,” the statement said.
Under the directive, directors, employees, and other individuals with access to confidential information about the company are prohibited from buying or selling its shares during the period.
The restriction also extends to connected persons who may have indirect access to privileged information.
“No insiders of the company or their connected persons may directly or indirectly deal in the shares of the company until twenty-four hours after the 2025 Audited Financial Statements are released to the NGX and the general public,” the company added.
Sovereign Trust Insurance Plc is a major player in Nigeria’s insurance industry and operates under the regulatory supervision of the National Insurance Commission (NAICOM).
The company is chaired by Abimbola Oguntunde, while Lucas Durojaye serves as the Managing Director and Chief Executive Officer.
Market watchers and investors are now awaiting the release of the company’s 2025 audited financial statements, which are expected to provide insights into its financial performance and overall outlook for the year under review.
